KARIYA (Japan) – DENSO Corporation today announced that it plans to introduce a new management system, in addition to executive changes, following the 91st Annual General Meeting of Shareholders and Board of Directors Meeting on June 19.=p 1
Changes in Management System
DENSO will introduce a new management system designed to strengthen corporate governance.
The new system will:
1. Separate and clarify corporate responsibility among Members of the Board, Senior Executive Directors and Executive Directors. Members of the Board will be responsible for decision making and supervision, and Senior Executive Directors and Executive Directors will be responsible for business execution.
(Alteration of memorandum will be after approval at the 91st Annual General Shareholders Meeting.)
2. Introduce external Members of the Board to reflect objective suggestions and opinions from outside the company.
